Welcome to Stellanea. These Terms and Conditions (“Terms”) govern your access to and use of all products and services provided through stellanea.com, including but not limited to website templates, private label rights (PLR) products, digital downloads, and online courses (collectively referred to as “Products”). By purchasing, accessing, or using our Products, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not purchase or use our Products.

1. Company Information

Stellanea is a brand operated by a sole proprietor based in Bulgaria. Our services are available globally, and all prices are listed in Euro.

2. Definitions

  • “We”, “Us”, “Our”, or “Stellanea” refers to the owner of the Stellanea website and business.

  • “User”, “Customer”, or “You” refers to any person who purchases or accesses our Products.

  • “Digital Products” include website templates, PLR materials, digital downloads, and courses.

  • “PLR Products” are labeled digital resources that can be customized and resold to end customers under specified usage rights.

  • “Templates” refer to our Kajabi website templates.

  • “Third-Party Tools” include platforms like Kajabi, Canva, MidJourney, and ChatGPT, which are required for customization.

3. Eligibility & Access

You must be at least 18 years old or of legal age in your country to make a purchase on our website. Our Products are intended for personal or business use and are not to be shared, sublicensed, or redistributed unless explicitly stated under PLR rights.

4. Products & Usage Rights

4.1 Kajabi Website Templates

  • Our website templates are designed for Kajabi and require a paid Kajabi subscription, which must be maintained separately by you.

  • Templates are delivered via a share link, and setup instructions will be provided.

  • Templates are licensed, not sold. You may use them to build and operate one business per purchase.

  • You may not:

    • Resell, sublicense, or redistribute the template (even if modified)

    • Share login or access credentials

    • Use our templates to create your own competing template business

4.2 PLR Products

  • Products labeled with “PLR Rights” (in the Product PDF or product description) can be customized and sold to end users.

  • You must not resell:

    • The original Canva templates or editable files

    • Any PLR product without significant customization

    • PLR products under the Stellanea or character branding (e.g., Samira)

4.3 Online Courses

  • Courses are licensed for personal use only.

  • You may not copy, resell, redistribute, or use the material in your own courses or content without written permission.

4.4 Website License

Stellanea Website Template License Agreement

Licensor: Julia Massold, aka Stella Sky, is doing business under the brand "Stellanea".

Licensee: Purchaser of Stellanea Website Template

1. Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Stellanea website template ("Template") for the purpose of building and operating one (1) online business or personal brand.

 

2. Permitted Use

The Licensee may:

Customize and use the Template to build their own website.

Use the Template to sell digital or physical products, memberships, services, or content.

Modify and brand the Template for personal or business use.

Participate in the Stellaneas Affiliate Program 

 

3. Prohibited Use

The Licensee may not:

Resell, share, or redistribute the Template in its original or modified form.

License or sublicense the Template to third parties.

Use the Template to build multiple websites without purchasing additional licenses.

Promote the Stellanea Template by sharing their personal product link; they must use their assigned affiliate link to earn a commission.

 

4. Resale and Transfer of Ownership

If the Licensee chooses to sell or transfer ownership of the website or business built using the Stellanea Template, the following conditions apply:

The Licensee must notify the Licensor (Stellanea) in writing at least 10 days prior to the planned transfer.

The Licensee agrees to pay a 15% commission on the total sale price of the website/business.

Payment must be made within 30 days of the transaction.

The Licensee must provide proof of the sale amount if requested.

This clause applies to any future sale or transfer of the website, regardless of the time elapsed since the original purchase.

The website must not be sold for less than two (2) times the original template price.

Any attempt to sell or transfer the Template-based website without compliance may result in:

Suspension or termination of website hosting

Legal action to recover owed commissions

 

5. Optional License Transfer by New Owner

The new owner must:

Agree to the full Stellanea License Terms before purchase.

Receive a valid license to use the Stellanea Template automatically included in the sale if the sale price is at least seven (7) times the original template price.

Otherwise, the new owner must purchase their own Stellanea Template license before gaining access.

 

6. Termination

Violating these terms may result in immediate termination of access to the template and any associated services without a refund.

 

7. Intellectual Property

All intellectual property rights in the Template remain with the Licensor. No rights are transferred except those expressly granted by this license.

8. Governing Law

This agreement shall be governed by and interpreted in accordance with the laws of Bulgaria.

5. Subscriptions to Third-Party Tools

To fully utilize our products, especially the website templates and PLR designs, you will need active subscriptions to the following platforms:

  • Kajabi (via our affiliate link)

  • Canva (Pro recommended)

  • MidJourney (for AI images)

  • ChatGPT (Plus recommended)

We are not affiliated with or responsible for the pricing, functionality, or availability of these services.

6. Payment and Refund Policy

All payments are processed securely through Stripe or PayPal.

Due to the instant-access nature of digital products, all sales are final and non-refundable.
By purchasing, you acknowledge that you waive any right to chargebacks or refunds.

7. Intellectual Property

All templates, product designs, character-based branding (e.g., Samira), graphics, and course content remain the exclusive intellectual property of Stellanea, unless explicitly labeled with PLR rights.

You may not:

  • Reproduce or redistribute any product or content not marked for resale

  • Claim Stellanea’s work as your own

  • Remove copyright notices or branding without permission

8. License Grant & Restrictions

You are granted a limited, non-exclusive, non-transferable license to:

  • Use Stellanea templates on one (1) business account (Kajabi) per purchase

  • Customize and sell only PLR-marked products to your own end customers

You are not permitted to:

  • Sell, gift, or share the website template with other users

  • Use the content in a way that competes with Stellanea

  • Create derivative products labeled as your own PLR offers based on non-PLR content

9. User Conduct & Prohibited Uses

You agree not to:

  • Violate any laws in your jurisdiction

  • Misuse the products to spread false or harmful content

  • Reverse-engineer, copy, or resell any digital product not explicitly allowed

  • Attempt unauthorized access to our systems or data

10. Limitation of Liability

We do not guarantee that using our templates or PLR products will result in specific business outcomes or income levels. You are solely responsible for how you use the content.

Under no circumstance shall Stellanea be liable for any indirect, incidental, or consequential damages resulting from:

  • Use of or inability to use our Products

  • Business losses or missed opportunities

  • Errors or omissions in provided content

11. Disclaimers

  • We make no guarantees regarding third-party platforms (Kajabi, Canva, etc.) and are not liable for their performance or pricing changes.

  • We may make updates, improvements, or discontinue a product without prior notice.

12. Governing Law

These Terms are governed by the laws of the Republic of Bulgaria. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of Bulgarian courts.

13. Termination

We reserve the right to terminate or restrict your access to our Products without refund if you violate these Terms, including unauthorized reselling or misuse.

14. Changes to Terms

We may update these Terms from time to time. We encourage you to review this page regularly. Continued use of our Products after changes means you accept the new Terms.
